AI agent Terms
These AI agent Terms ("AI agent Terms") govern the purchase, access to, and use of Kommo AI agent and any related packages, credits, features, and functionality made available by QSOFT LLC d/b/a Kommo ("Kommo").
These AI agent Terms supplement the Kommo Terms Of Use Agreement. The Kommo Privacy Policy and Refund Policy also apply to the use of AI agent, except as expressly stated otherwise in these AI agent Terms. In the event of any conflict between these AI agent Terms and the Kommo Terms Of Use Agreement, these AI agent Terms will control solely with respect to AI agent.
By purchasing, accessing, or using AI agent, you agree to be bound by these AI agent Terms.
1. Definitions
For purposes of these AI agent Terms:
"AI agent" means Kommo’s artificial intelligence functionality made available as an optional product, add-on, or feature, including any related automations, responses, workflows, tools, or services designated by Kommo as part of AI agent.
"AI agent Package" means a paid or free package that provides a fixed amount of Credits for eligible AI agent functionality during the applicable Package Period.
"Billing Interface" means the Kommo billing page, checkout flow, order form, invoice flow, administrative interface, or any other purchasing interface approved by Kommo.
"Credits" means internal units used solely to measure and track consumption of eligible AI agent functionality. Credits are only a usage metric. Credits have no cash value, are not legal tender, are not electronic money, are not stored value, are not a gift card, are not a deposit, and are not redeemable or exchangeable for money or money equivalent.
"Eligible AI agent Functionality" means those AI agent features and actions that Kommo designates from time to time as consuming Credits.
"Package Period" means a 30-day period beginning on the date an AI agent Package is purchased, activated, or renewed, as applicable. For clarity, a Package Period is not a calendar month.
"Unused Credits" means Credits that have been allocated to an AI agent Package for the current Package Period and have not yet been consumed.
2. Eligibility and Relationship to Kommo Subscription
AI agent is an optional add-on product and is available only to customers with an active paid Kommo subscription, unless Kommo expressly provides otherwise.
Purchase or use of an AI agent Package does not expand, replace, or otherwise modify the Customer’s Kommo subscription plan, seat count, service tier, or feature entitlements unless expressly stated by Kommo in writing or in the Billing Interface.
If the Customer’s Kommo subscription expires, is cancelled, is suspended, is terminated, or otherwise ceases to be active, Kommo may immediately suspend or terminate access to AI agent, and any Unused Credits may expire without refund, except where required by applicable law.
3. Purchase and Billing
AI agent Packages may be purchased through the Billing Interface or by any other method authorized by Kommo.
Unless otherwise stated in the Billing Interface or an applicable order form, all fees for AI agent Packages are charged in advance.
All fees are exclusive of taxes, levies, duties, or similar governmental assessments unless expressly stated otherwise. The Customer is responsible for all such charges, excluding only taxes based on Kommo’s net income.
Kommo may change prices, package structures, usage logic, renewal terms, or Credit allocations for future purchases or renewals at any time, in its discretion, by updating the Billing Interface, these AI agent Terms, or another applicable notice.
4. Credits and Usage
Each AI agent Package provides a fixed amount of Credits for the applicable Package Period.
Credits are consumed as the Customer uses Eligible AI agent Functionality, based on Kommo’s then-current usage logic, metering rules, and technical settings.
Kommo may determine, modify, or update how Credits are measured, consumed, allocated, or displayed, including by feature type, message type, workflow, provider cost, technical configuration, or other factors, provided that such changes apply prospectively unless otherwise stated.
Credits are non-transferable, non-assignable, non-sublicensable, and may not be sold, resold, exchanged, pledged, or otherwise dealt with by the Customer.
Unused Credits expire automatically at the end of the applicable Package Period unless expressly stated otherwise in the Billing Interface or an order form. Unused Credits do not roll over to the next Package Period unless expressly stated otherwise by Kommo.
5. Renewals and Cancellation
Unless otherwise stated in the Billing Interface or an order form, AI agent Packages may renew automatically at the end of each Package Period.
The Customer may cancel renewal of an AI agent Package at any time through the Billing Interface or by another method approved by Kommo. Cancellation will stop future renewals only and will not pause, rewind, or restart the current Package Period.
Cancellation does not reinstate expired Credits, restore consumed Credits, or entitle the Customer to a refund except as expressly provided in Section 6 of these AI agent Terms or as required by applicable law.
6. Refunds
Except as expressly stated in these AI agent Terms or required by applicable law, fees for AI agent Packages are non-refundable.
If the Customer purchases an AI agent Package for a single Package Period, no refund will be provided once that Package Period has started.
If Kommo offers and the Customer purchases a prepaid multi-period or annual AI agent Package, the Customer may be eligible for a refund only for full unused future Package Periods. The then-current started Package Period is non-refundable, even if only partially used or if no Credits were consumed during that period.
No refund is provided for:
- consumed Credits;
- expired Credits;
- partially used or partially elapsed Package Periods;
- dissatisfaction with AI output, including inaccurate, incomplete, inconsistent, misleading, or unsuitable output; or
- changes in the Customer’s need for the service.
Kommo may, in its discretion, issue a full or partial refund in cases of verified technical failure, verified unauthorized charges, or other exceptional circumstances.
For clarity, any refund under these AI agent Terms relates to unused future prepaid service periods, not to Credits as a standalone item of value.
7. Third-Party Providers and Service Dependencies
AI agent may rely on third-party large language models, AI model providers, cloud providers, hosting providers, vector databases, APIs, communication channels, platform integrations, and other external technologies, services, or suppliers.
Availability, speed, quality, performance, output style, output format, functionality, uptime, and compatibility of AI agent may depend in whole or in part on such third-party providers and external systems.
Kommo may change, replace, add, remove, or discontinue any model, provider, feature, integration, or component used in AI agent at any time, with or without notice, unless otherwise required by applicable law or a separate written agreement.
Kommo is not responsible for outages, interruptions, delays, degradations, output changes, or other issues caused by third-party providers or systems outside Kommo’s reasonable control.
8. Third-Party Channels and Integrations
AI agent may interoperate with or rely on third-party channels, platforms, services, applications, APIs, and integrations, including, for example, social media platforms, messaging channels, telephony providers, email providers, marketplaces, CRM integrations, customer communication channels, and other third-party technologies or services, whether currently supported by Kommo or made available in the future.
Such channels, platforms, services, applications, APIs, and integrations may include, by way of example only, Instagram, Facebook, WhatsApp, and other existing or future third-party products, providers, communication environments, or technologies that Kommo may support, enable, integrate with, or make available from time to time.
The availability, compatibility, performance, transmission of communications, and functionality of any such third-party channel, platform, service, application, API, or integration depend on factors outside Kommo’s reasonable control, including third-party terms, policies, developer requirements, platform rules, API terms, permissions, approvals, account type requirements, business verification requirements, technical limitations, geographic restrictions, content restrictions, rate limits, access scopes, token validity, outages, deprecations, suspensions, removals, access changes, product changes, and other acts or omissions of the applicable third party.
Kommo does not control and is not responsible for any third-party channel, platform, service, application, API, integration, or provider, or for any interruption, unavailability, incompatibility, delay, deprecation, failure of message transmission, content rejection, policy enforcement action, account limitation, suspension, disablement, removal, termination, access revocation, permission change, API change, or other restriction or action imposed by any such third party.
Kommo does not warrant that any current or future third-party channel, platform, service, application, API, integration, feature, action type, message format, permission set, approval status, or related functionality will remain available, compatible, approved, supported, or unchanged for any period of time. Kommo may add, modify, limit, suspend, replace, or discontinue any such third-party channel, platform, service, application, API, integration, or related functionality at any time, with or without notice, unless otherwise required by applicable law or a separate written agreement.
The Customer is solely responsible for obtaining and maintaining all accounts, permissions, approvals, authorizations, tokens, notices, disclosures, and consents required for lawful use of any current or future third-party channel, platform, service, application, API, or integration in connection with AI agent, and for complying with all applicable third-party terms, platform policies, developer requirements, channel requirements, and applicable law.
9. Data Processing and Privacy
Use of AI agent may involve the processing of prompts, instructions, uploaded content, linked data sources, knowledge base materials, conversation content, response content, metadata, logs, and other Client Data.
The Customer acknowledges and agrees that use of AI agent is also subject to the Kommo Privacy Policy, as updated from time to time.
The Customer represents and warrants that it has all rights, permissions, notices, and consents necessary to provide Client Data and other information for processing through AI agent and any underlying service providers engaged by Kommo to provide AI agent.
The Customer is solely responsible for the lawfulness, accuracy, quality, and appropriateness of any data, content, materials, instructions, prompts, templates, workflows, or other inputs submitted to or used with AI agent.
The Customer must not submit to AI agent any content or data in violation of applicable law, third-party rights, contractual obligations, or internal confidentiality restrictions.
10. Nature of AI Output; No Professional Advice
AI agent generates output automatically and probabilistically. AI output may be inaccurate, incomplete, outdated, inconsistent, misleading, offensive, hallucinated, or otherwise unsuitable for the Customer’s intended use.
AI agent is provided as an assistive tool only. AI output does not constitute legal, tax, accounting, financial, medical, regulatory, compliance, employment, safety, or other professional advice.
Kommo does not guarantee that AI agent or any output will be accurate, reliable, lawful, available, secure, complete, fit for a particular purpose, or free of errors.
The Customer must independently review, verify, and determine the suitability of all AI output before using, relying on, sending, publishing, or acting on it.
11. Customer Responsibilities and Human Review
The Customer is solely responsible for:
- configuring AI agent;
- defining instructions, prompts, workflows, templates, approval flows, automations, guardrails, escalation rules, and knowledge sources;
- reviewing and approving AI-generated communications where appropriate;
- determining whether human review is required before use of any output; and
- ensuring compliance with applicable law and industry-specific requirements.
The Customer must not use AI agent as the sole basis for payment instructions, bank details, legally significant communications, contractual commitments, financial decisions, compliance determinations, safety-related decisions, healthcare-related decisions, or other high-risk matters without appropriate human review and independent verification.
The Customer is fully responsible for how AI agent is used by its employees, contractors, agents, administrators, authorized users, and any third parties acting on its behalf.
12. Restrictions on Use
The Customer must not use AI agent:
- in violation of applicable law or regulation;
- to infringe or misappropriate intellectual property, privacy, publicity, confidentiality, or other rights of any person;
- to generate, transmit, or facilitate fraudulent, deceptive, defamatory, discriminatory, abusive, unlawful, or harmful content;
- to impersonate a human without disclosure where disclosure is required by applicable law;
- to send misleading or unauthorized customer communications;
- to circumvent Kommo’s technical limitations, usage logic, billing rules, or access controls; or
- in any manner prohibited by the Kommo Terms Of Use Agreement or applicable law.
- in breach of any terms, policies, rules, restrictions, or technical requirements of any current or future third-party channel, platform, integration, or provider used with AI agent.
13. Monitoring, Suspension, and Termination
Kommo may monitor usage of AI agent for billing, security, abuse prevention, service protection, legal compliance, and service improvement purposes, subject to applicable law and the Kommo Privacy Policy.
Kommo may suspend, restrict, throttle, disable, or terminate access to AI agent, in whole or in part, at any time if Kommo reasonably believes that:
- the Customer has violated these AI agent Terms, the Kommo Terms Of Use Agreement, or applicable law;
- there is fraud, abuse, abnormal consumption, security risk, or other misuse;
- required payment was not successfully collected;
- continued provision of AI agent creates legal, regulatory, operational, or reputational risk; or
- a third-party provider or technical dependency becomes unavailable or commercially impracticable.
During suspension, Credits may become unavailable for use and may continue to expire as otherwise provided in these AI agent Terms.
14. Intellectual Property and Feedback
Kommo and its licensors retain all rights, title, and interest in and to AI agent, including all software, models, prompts, workflows, interfaces, documentation, branding, usage logic, and related intellectual property, except for rights in Customer Data retained by the Customer or its licensors.
To the extent the Customer provides suggestions, comments, ideas, recommendations, or other feedback regarding AI agent, Kommo may use such feedback without restriction or obligation.
15. Disclaimers
AI agent is provided on an "as is," "as available," and "with all faults" basis to the maximum extent permitted by law.
To the maximum extent permitted by law, Kommo disclaims all representations, warranties, and conditions, express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, uninterrupted operation, and error-free performance.
Kommo does not warrant that AI agent will meet the Customer’s expectations or achieve any particular business, operational, commercial, legal, or technical result.
16. Limitation of Liability
The limitations of liability set forth in the Kommo Terms Of Use Agreement apply to AI agent.
Without limiting the foregoing, to the maximum extent permitted by law, Kommo will not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages, or for any loss of profits, revenue, business, goodwill, data, customers, contracts, or anticipated savings, arising out of or relating to AI agent.
Kommo is not liable for any losses, claims, damages, or liabilities arising from or related to:
- reliance on AI output without independent verification;
- incorrect Customer configuration, prompts, instructions, workflows, templates, or approval rules;
- inaccurate, unlawful, incomplete, or inappropriate Customer-provided data or materials;
- acts or omissions of the Customer, its users, or its downstream customers;
- failures, outages, errors, delays, or changes attributable to third-party providers or systems; or
- suspension, restriction, discontinuation, or modification of AI agent in accordance with these AI agent Terms.
- any block, disablement, content rejection, delivery failure, access revocation, removal, account limitation, policy enforcement action, or other restriction imposed by any current or future third-party channel, platform, integration, or provider.
To the extent not otherwise stated in the Kommo Terms Of Use Agreement, Kommo’s aggregate liability arising out of or relating to AI agent will not exceed the amount actually paid by the Customer to Kommo for the AI agent Package giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim.
17. Indemnification
The Customer will defend, indemnify, and hold harmless Kommo and its affiliates, officers, directors, employees, contractors, suppliers, and agents from and against any claims, actions, proceedings, liabilities, damages, losses, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:
- the Customer’s use of AI agent;
- Customer Data or other materials submitted to AI agent;
- Customer-generated or Customer-approved communications or actions involving AI agent;
- violation of these AI agent Terms, the Kommo Terms Of Use Agreement, or applicable law; or
- infringement or violation of third-party rights by the Customer’s use of AI agent.
18. Changes to AI agent and These Terms
Kommo may modify, suspend, discontinue, replace, or update AI agent, any AI agent Package, any feature, any pricing element, any Credit logic, or these AI agent Terms at any time.
Updated AI agent Terms will become effective upon posting or as otherwise stated by Kommo. Continued purchase, access, or use of AI agent after the effective date of updated AI agent Terms constitutes acceptance of the updated version.
19. Miscellaneous
Capitalized terms not defined in these AI agent Terms have the meanings given in the Kommo Terms Of Use Agreement.
Except as expressly set forth herein, the Kommo Terms Of Use Agreement remain in full force and effect.
If any provision of these AI agent Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
